Thanks for the reply, but can you be specific about it's location........my mechanic wants to replace it for a price of $225.
I checked and the sensors only cost about $75, so if I knew where to look for it maybe I can change it myself..

Spend about $25 and buy a Haynes manual. Look up the procedure and the tools required. Then you can decide whether you and your tool box are up to the task. On my 2.7L engine, there are two catalytic converters, one for the front bank of cylinders and one for the rear. I'm not sure about your 3.0L engine which is a very different engine. I don't know whether they have one or two cats on yours. Whatever, there will be an oxygen sensor upstream (closer to the engine) of the catalytic converter and that's the one that is generating the code.
Your mechanic may be planning on replacing both the upstream and downstream sensors. They work in pairs. The idea is that the health of the catalytic converter is measured by the computer comparing the reading from the upstream sensor to the reading from the downstream sensor. It adjusts for the aging of the sensors and if you toss in a new sensor on one side of the equation with an old one on the other side, it's liable to cause the computer to react improperly. To be more sure of a good outcome, the mechanic might be anticipating the problem and planning on swapping both out at once. If so, that price doesn't seem bad at all.
